The following general licenses apply to Taktone's product. Specific products may be shipped under different licenses, the texts of which are included with the distribution. Licenses included with the distributions take precedence to the ones published here. License conditions may change from time to time.

Taktone may use third party software in the products, the licenses of which are also included in the respective distribution. If a conflict occurs between a Taktone's product license and a third party software license, then the third party license is honoured only with respect to the third party components of the Product. The license implies user acceptance of the licenses for any third party components used in the Product. Third party licenses are included in the distribution of the Product.

The licenses are written in English, and will not be translated in any language for any reason except for strictly private and personal purposes. The license should be distributed with the software in unaltered form.

END-USER LICENSE AGREEMENT (EULA)
IMPORTANT: This End-User License Agreement is a legal Agreement between you and the Application Provider for the applicable Software Products of the Application Provider. Do not copy, install, or use the Software Products provided under this license agreement ("Agreement"), until you have carefully read the following terms and conditions.

Any reproduction or redistribution of Software Products or any of its components not in accordance with the End-User License Agreement is expressly prohibited by law, and may result in severe civil and criminal penalties and without the express permission of the Application Provider is prohibited.

Definitions:
The Product or Products shall mean and include Application Provider Software.

The Product or Products shall mean all of the contents of the files (provided either by electronic download, on physical media or any other method of distribution), disk(s), CD-ROM(s) or other media with which this Agreement is provided) which may be published on the Publisher’s site.

The License Duration shall mean the duration under the license subscription validity, e.g. 1 year or Lifetime, beginning at the date of license procurement.

The Products are licensed on a per computer basis. The Products are licensed and not sold. Each license purchased is bound to one particular computer and allows using the Products on that single computer. If you install and use or reinstall the Products on any other computers you will have to purchase an additional license for each computer. If you change a computer, you will have to purchase an additional license. All updates and upgrades for the Products are free throughout the period of Products license validity.

Free Product shall mean that no license fee is charged and the unaltered in any way and the products is pre-activated by the Application Provider or his agents. Support charges may apply.

Free product means free to use. No other rights are given nor implied.

If the product is Free (freeware) there is no restriction on the number of machines it is installed on. Support charges may apply.

Your rights and obligations with respect to the use of the Products or any components thereof, are as follows:

You may:

Install and use one copy of the Product or any of its components and all upgrades and updates on a single computer for the License duration. In the case of a Free Product you may use at least one copy of the Product or any of its components and all upgrades and updates on at least one single computer for the License duration.
Make copy of the Product and/or any of its components for archival purposes on a storage device or media.
Use the Products on a network, provided that you have a licensed copy of the Products for each computer that can access the Products over that network for the license duration.
Receive support by e-mail to answer questions and solve problems referred to the Products for the license duration. At the descretion of the Application Provider support may be extended for limited periods of time in addition to the license duration.
You may not:

Use, copy, modify, or transfer copies of the Products except as provided for in this License.
Remove any proprietary notices or labels from the Products.
Reverse engineer, decompile, disassemble or make derivative works based on the Products (except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation).
Rent, lease, sublicense or assign the Products or any copy thereof, including any related documentation.
Separate the Product’s components parts for use over more than one computer.
Distribute the license key in any way.
Make any attempt to discover the source code of the Products.

Subscription license starts on the date of license activation for each installation and last for 1 year, unless otherwise specified.
Licenses may be renewed at any time for a further period of time. Renewals are cummulative.
The user is entitled to free updates and support for the duration of license validity.
By installing the software the user accepts the terms and conditions of the license agreement and agrees to be bound by them.
The software is licensed and not sold.
License fees are non-refundable. The software can be used for a grace period of 30 days on trial basis for evaluation and license acquisition consideration.
All prices are in USD.

The Application Provider and its suppliers expressly disclaim any warranty for the Products.

THE PRODUCTS AND ANY RELATED DOCUMENTATION ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.

THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE PRODUCTS REMAINS WITH THE USER.

NO LIABILITY FOR CONSEQUENTIAL DAMAGES.
IN NO EVENT SHALL THE APPLICATION PROVIDER BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR OF INABILITY TO USE THE PRODUCTS.

THE PRODUCTS SHALL NOT BE USED FOR AND IN ANY POTENTIALLY HAZARDOUS ENVIRONMENTS, SUCH AS NUCLEAR POWER STATIONS OR OTHER FACILITIES WHERE THERE IS A DANGER TO THE ENVIRONMENT AND DANGER OF LOSS OF HUMAN LIFE.
